Business Restructuring & Turnaround

When cash is tight, creditors are pressing or the business no longer fits the market, the earlier you act the more options you have. We sit down with you, look at the numbers and the contracts, and explain plainly where the business stands and what can realistically be done.

That might mean renegotiating payment terms with suppliers, landlords or HMRC, restructuring loans and leases, selling or closing part of the business, or bringing in new investment. We prepare the proposals, lead the negotiations with creditors and help you put a practical recovery plan in place.

Where a formal insolvency process such as an administration or a company voluntary arrangement is the right answer, we work alongside licensed insolvency practitioners, who take the formal appointment. We stay with you throughout, so you have one team guiding you from the first conversation to the finish.

Buying or selling

Business Acquisitions

Buying or selling a business is one of the biggest decisions an owner makes. We help you get the structure right from the start, whether it is a share purchase or an asset purchase, and agree clear heads of terms so both sides know what is on the table.

For buyers, we coordinate due diligence on the company's contracts, staff, liabilities and finances, and flag the risks that should shape the price or the protections you need. For sellers, we help you prepare, answer the buyer's questions and negotiate warranties and indemnities you can live with.

We negotiate and review the sale agreement and supporting documents through to completion. Any step that must be carried out by a regulated solicitor, such as transferring or registering property, is handled by one of our partner solicitor firms, and we tell you clearly when that applies.

Property

Land Development

Taking a site from first viewing to finished scheme involves landowners, planners, funders and builders, each with their own agreements. We help developers, landowners and investors put those relationships on a sound footing.

We advise on and negotiate option agreements, promotion agreements, conditional contracts and joint ventures, and help you understand planning obligations such as section 106 agreements and how they affect the viability of your scheme. We also help structure funding and development agreements so everyone's role and return are clear.

Property transfers, registration at HM Land Registry and other conveyancing work must be carried out by a regulated solicitor, so these are handled by our partner solicitor firms. We coordinate with them so the whole transaction runs smoothly.

Construction

Commercial Construction Projects

Most construction disputes start with a contract that was unclear or not followed. We help employers, contractors and subcontractors agree sound terms at the outset, including JCT and NEC forms, appointments, subcontracts and collateral warranties.

During the project, we help you manage payment applications and pay less notices, variations, delays and extensions of time, so problems are dealt with before they grow. Getting the paperwork right as you go protects your cash flow and your position.

If a dispute does arise, we help you negotiate a settlement and can prepare and run statutory adjudication, the fast-track process for construction payment disputes. Where a matter needs to go to court, one of our partner solicitor firms can act for you.

Contracts

Business Contracts & Agreements

Good contracts prevent most business disputes. We draft, review and negotiate the agreements your business relies on every day, written in plain English so you understand what you are signing.

That includes terms and conditions of business, supplier and customer agreements, distribution and agency agreements, shareholder and partnership agreements, confidentiality agreements, and employment contracts and staff handbooks.

When you are sent a contract to sign, we review it quickly, explain where the risks sit and suggest the changes worth asking for. We agree the fee with you before we start, so there are no surprises.

Disputes

Contractual Disputes & Money Claims

Unpaid invoices and broken agreements can hold up your business and your cash flow. We help you assess the strength of your position and the most cost-effective way to resolve it, whether you are owed money or a claim has been made against you.

Most disputes can be settled without going to court. We prepare letters before action that follow the court's pre-action rules, negotiate with the other side and support you through mediation and other forms of settlement.

If the matter does go to court, we can help you prepare and run the claim yourself, from the claim form to the evidence. If you would prefer someone to conduct the case for you, one of our partner solicitor firms can take it on and act for you directly.

Starting out

Starting & Setting Up a Business

Getting the foundations right at the start saves time and money later. We help you choose the right structure, whether a sole trader, partnership, limited company or LLP, and explain what each means for liability and day-to-day running.

We can register your company, prepare articles of association and a shareholders' agreement, and set up founder and investor arrangements so everyone knows where they stand from day one.

We also prepare the documents a new business needs to trade with confidence, including terms and conditions, website terms and privacy notices, supplier and customer contracts and your first employment contracts.

Business Immigration & Sponsor Licences

Many businesses need to recruit from overseas, and the rules on sponsor licences, skilled worker visas and right-to-work checks are strict. Getting them wrong can mean civil penalties or losing the ability to sponsor workers.

Just Litigate does not give immigration advice itself. When you contact us, we take the details of what you need and introduce you to one of our partner firms of solicitors, who are regulated to give immigration advice and act for you directly.

Our partner firms can help with applying for and maintaining a sponsor licence, assigning certificates of sponsorship, skilled worker and other business visas, and setting up compliant right-to-work checks. You will receive their terms and fees in writing before any work begins.

Family

Separation & Divorce Law

Separation is one of the hardest times in anyone's life. We give calm, practical guidance so you understand the process and your options, and can make decisions with a clear head.

We help with no-fault divorce and dissolution, dividing finances and property, maintenance and pensions, and arrangements for children. Wherever possible we help you reach agreement through negotiation and mediation, which is usually quicker, cheaper and less stressful than going to court.

If an application to court is needed, we can help you prepare the forms and documents and understand each stage so you can manage it yourself. If you would like a solicitor to conduct the case for you, we can introduce you to one of our partner solicitor firms.

Housing

Landlord & Tenant Law

Whether you are a landlord or a tenant, housing problems can quickly become stressful. We explain where you stand under the law and help you respond in the right way, at the right time.

For landlords, we help with tenancy agreements, deposit protection, serving valid notices and recovering rent arrears. For tenants, we help with disrepair, deposit disputes, unlawful eviction and challenging notices that have not been served correctly.

We also help with commercial leases and lease renewals. If a case goes to court, we can help you prepare your documents and evidence, and our partner solicitor firms can act for you where you need representation.

Planning ahead

Wills & Lasting Powers of Attorney

A clear, valid will makes sure your estate passes to the people you choose and saves your family difficult decisions later. We prepare wills for a fixed fee, from simple wills to arrangements involving trusts, property and blended families.

A lasting power of attorney lets someone you trust make decisions for you if you become unable to. We prepare both types, for property and financial affairs and for health and welfare, and help you register them with the Office of the Public Guardian.

We take time to understand your family and your wishes, explain your choices in plain English and make sure everything is signed and witnessed correctly, so your documents work when they are needed.

Going it alone

Help Representing Yourself in Court

More and more people bring or defend court cases without a solicitor, often to keep costs down. Representing yourself is your right, and with the right preparation it can work well.

We help you understand the court process, prepare claim forms, defences and witness statements, organise your evidence into a clear bundle and get ready for the hearing, step by step and for an agreed fee.

We do not conduct the case or speak for you in court. You stay in control of your case and present it yourself, with our support behind you. If you decide you would rather have a solicitor act for you, we can introduce you to one of our partner solicitor firms.
